HOUSTON: Solaris Energy Infrastructure, Inc. (NYSE:SEI) (“Solaris” or the “Company”), today announced updated Adjusted EBITDA guidance ranges for the third and fourth quarters of 2026 and an initial guidance range for the first quarter of 2027. The Company’s new expectations reflect stronger contributions from both its core power services offerings and better-than-expected performance from its recently acquired businesses.

About Non-GAAP Measures

This news release presents forward-looking Adjusted EBITDA guidance ranges. Adjusted EBITDA is a non-GAAP financial measure, meaning a financial measure that is not calculated in accordance with generally accepted accounting principles in the United States (“GAAP”). We define Adjusted EBITDA as our net income plus depreciation and amortization expense, interest (income) expense, income tax expense, stock-based compensation expense, and certain non-cash items and any extraordinary, unusual or non-recurring gains, losses or expenses. Management believes that Adjusted EBITDA provides useful information to investors regarding the Company’s financial condition and results of operations because it reflects the core operating results of our businesses and helps facilitate comparisons of operating performance across periods. Although management believes Adjusted EBITDA is a good tool for internal use and for the investment community in evaluating Solaris’ overall financial performance, it should be considered in addition to, not as a substitute for or superior to, measures of financial performance prepared in accordance with GAAP. Because Adjusted EBITDA may be defined differently by other companies in our industry, our definition of Adjusted EBITDA may not be comparable to similarly titled measures of other companies, thereby diminishing its utility.

We have not reconciled the forward-looking Adjusted EBITDA guidance ranges included above to net income, the most directly comparable GAAP measure, because we are unable to do so without unreasonable efforts. Certain items that would be required for such a reconciliation have not occurred, are outside our control, or cannot be predicted with reasonable certainty. Preparation of such a reconciliation would require forward-looking financial statements prepared in accordance with GAAP, which are unavailable to us without unreasonable effort, and we believe such a reconciliation would imply a degree of precision that could be misleading to investors. For the same reasons, we are unable to address the probable significance of the unavailable information. The variability of these items may have an unpredictable, and potentially significant, impact on our future GAAP financial results, and actual net income for the guidance periods may differ materially from Adjusted EBITDA.
